Welcome to Jarida Africa. These Terms & Conditions govern your access to and use of the Jarida Africa website, platform, mobile application, and related services. By accessing or using our platform, you agree to be bound by these terms. Jarida Africa is a logistics marketplace and coordination platform — we connect customers, transporters, drivers, and logistics partners to support the movement of goods across our network.

1.

Definitions

In these Terms & Conditions:

  • "Jarida Africa", "Jarida", "we", "us", or "our" means the registered company operating the Jarida platform.
  • "Platform" means the Jarida Africa website, application, systems, and related digital tools.
  • "User" means any person or entity accessing or using the platform.
  • "Customer" means any person or business requesting transport, logistics coordination, or related services through the platform.
  • "Transporter" means any transport company, carrier, fleet operator, driver, or logistics service provider listed on or connected through the platform.
  • "Services" means the marketplace, coordination, technology, compliance, communication, support, payment facilitation, and related services offered by Jarida Africa.
2.

Acceptance of Terms

By using the platform, you confirm that:

  • you are legally capable of entering into binding agreements;
  • the information you provide is accurate and complete;
  • where you act on behalf of a company or other entity, you are authorised to bind that entity to these Terms & Conditions.

Electronic transactions and online acceptance of terms are recognised under South African law, including the Electronic Communications and Transactions Act.

3.

Nature of Jarida Africa's Services

Jarida Africa provides a platform that may include:

  • connecting customers with transporters;
  • facilitating load matching and route coordination;
  • supporting onboarding and compliance checks;
  • enabling communication between parties;
  • facilitating quotations, bookings, and service administration;
  • supporting invoicing, collections, or payment flows where applicable;
  • managing platform support, records, and service-related communication.

Unless a separate written agreement states otherwise, Jarida Africa does not guarantee that it is the contracting carrier, freight owner, insurer, customs agent, warehouse operator, or transporter for any shipment. In many cases, the transport service itself is performed by an independent transporter, while Jarida provides the marketplace and coordination layer.

4.

User Accounts

To access certain services, you may be required to create an account. You agree to:

  • provide true, current, and complete information;
  • keep your login credentials secure;
  • update your information when it changes;
  • take responsibility for all activity under your account.

Jarida Africa may suspend, restrict, or terminate accounts where information is false, incomplete, misleading, outdated, or where the platform is used unlawfully or in breach of these Terms.

Customer Obligations

Customers using the platform agree to:

  • provide accurate shipment, route, timing, and cargo information;
  • ensure that goods are lawful for transport;
  • disclose any special handling, safety, customs, regulatory, or cross-border requirements;
  • ensure that pickup and delivery contacts are accurate and available;
  • pay all agreed fees, charges, or commissions when due;
  • avoid using the platform for fraud, abuse, or unlawful conduct.

If inaccurate or incomplete information causes delay, loss, regulatory issues, pricing changes, failed collection, or failed delivery, the customer may be responsible for the resulting consequences.

Transporter Obligations

Transporters using the platform agree to:

  • provide accurate company, vehicle, driver, permit, insurance, and compliance information;
  • maintain all licences, permits, registrations, and approvals required by law;
  • ensure that vehicles, drivers, and operations are fit for the services accepted;
  • comply with applicable road transport, customs, labour, safety, and regulatory requirements;
  • perform accepted transport services professionally and lawfully;
  • keep service and compliance records up to date where requested.

Jarida Africa may request supporting documents and may suspend or remove transporters that fail onboarding, breach compliance requirements, or present legal, operational, or reputational risk.

7.

Quotes, Bookings, and Service Requests

Any quote, estimate, route availability indication, or booking status shown on the platform is subject to confirmation, availability, operational feasibility, compliance, and any additional commercial terms that apply. A booking or service request is only confirmed when Jarida Africa or the relevant service provider issues a confirmation through the platform, by email, or in writing.

  • the requested service is unavailable;
  • required documents are missing;
  • there is a compliance, fraud, or payment concern;
  • cargo or route details are inaccurate;
  • safety, legal, or operational risks arise.

Jarida Africa may decline, cancel, or suspend a booking where:

Fees, Commissions, and Payment

Fees may include transport charges, platform fees, coordination fees, commission, administrative fees, verification fees, cancellation fees, or other agreed charges.

Depending on the transaction structure:

  • the customer may pay the transporter directly and separately pay Jarida Africa its agreed fee or commission;
  • the transporter may separately owe Jarida Africa a commission or service fee;
  • Jarida Africa may facilitate or receive payment on behalf of one or more parties, where agreed.

All payment terms, invoicing cycles, due dates, taxes, and refund or adjustment rules may be set out in the relevant quote, invoice, service schedule, booking confirmation, or separate commercial agreement. If payment is late, Jarida Africa may suspend services, withhold confirmations, restrict account access, or take reasonable recovery steps.

9.

Cancellations and Changes

A booking may be cancelled or amended only in accordance with the applicable booking terms, service agreement, or commercial arrangement.

Jarida Africa may apply reasonable cancellation, rescheduling, administrative, or no-show charges where:

  • a customer cancels after confirmation;
  • cargo is not ready;
  • required documentation is not available;
  • a pickup or delivery fails for reasons outside the transporter's control;
  • a transporter withdraws after accepting a booking without valid reason.
10.

Compliance and Verification

Jarida Africa may perform onboarding, verification, screening, or document checks on customers, transporters, drivers, or related parties. These checks are intended to support platform integrity and operational trust, but they do not amount to a guarantee, warranty, or certification that any user, transporter, or transaction is risk-free, fully compliant at all times, or suitable for every purpose. Users remain responsible for conducting their own commercial, legal, insurance, and operational assessments where appropriate.

Platform Use Rules

You may not use the platform:

  • in violation of any law or regulation;
  • to upload false, fraudulent, misleading, or defamatory content;
  • to interfere with platform security, availability, or integrity;
  • to access accounts, data, or systems without authorisation;
  • to introduce malware, harmful code, or malicious activity;
  • to copy, scrape, reverse engineer, or misuse platform data or content without permission;
  • to bypass commissions, fees, or platform processes where restricted by your agreement with Jarida Africa.

Jarida Africa may investigate misuse and take appropriate technical or legal action.

12.

Intellectual Property

All content, branding, software, text, designs, workflows, graphics, logos, and platform materials made available by Jarida Africa remain our property or the property of our licensors, unless otherwise stated. You may not copy, reproduce, distribute, modify, reverse engineer, publish, or commercially exploit any part of the platform without prior written consent.

Privacy and Personal Information

Jarida Africa processes personal information in accordance with its Privacy Policy and applicable data protection law, including POPIA.

By using the platform, you acknowledge that your personal information may be processed for purposes including:

  • account management;
  • onboarding and verification;
  • bookings and logistics coordination;
  • communication and support;
  • invoicing and payment administration;
  • compliance, fraud prevention, and platform security.

14.

Third-Party Services and Links

The platform may contain links to third-party websites, services, payment tools, tracking systems, or external providers. Jarida Africa does not control and is not responsible for the content, conduct, security, availability, or privacy practices of third-party services. Your use of those services may be subject to separate third-party terms.

15.

No Warranty

The platform and services are provided on an "as is" and "as available" basis, subject to any mandatory rights that may not lawfully be excluded under applicable law.

While Jarida Africa aims to provide a reliable and professional platform, we do not warrant that:

  • The platform will always be uninterrupted, secure, and error-free.
  • Every transporter, customer, or booking will be available, suitable, or successful.
  • The platform will meet every user's specific commercial expectations.
  • All information supplied by third parties will always be complete or accurate.

Consumer protection law in South Africa limits the use of unfair or misleading terms, so this clause should always be read subject to rights that cannot legally be waived.

16.

Limitation of Liability

To the fullest extent permitted by law, Jarida Africa will not be liable for indirect, incidental, special, or consequential loss, including loss of profit, loss of business, loss of opportunity, reputational harm, or data loss arising from or connected with:

  • use of or inability to use the platform;
  • delays, disruptions, or service interruptions;
  • conduct or default by customers, transporters, drivers, or third parties;
  • inaccurate information supplied by users;
  • regulatory delays, customs issues, route disruptions, force majeure events, or security incidents.

Where Jarida Africa's liability cannot be excluded, it will be limited to the maximum extent permitted by law and, where appropriate, to the amount of fees directly paid to Jarida Africa for the relevant service giving rise to the claim. This clause is subject to any non-excludable rights under the Consumer Protection Act and other applicable law.

17.

Indemnity

You agree to indemnify and hold harmless Jarida Africa, its directors, officers, employees, contractors, and affiliates from claims, losses, damages, liabilities, costs, or expenses arising from:

  • your breach of these Terms & Conditions;
  • your unlawful use of the platform;
  • inaccurate, false, or misleading information provided by you;
  • your cargo, documents, permits, instructions, or operations;
  • your breach of applicable law or the rights of a third party.
18.

Force Majeure

Jarida Africa will not be responsible for delay or failure caused by events beyond its reasonable control, including acts of God, extreme weather, civil unrest, labour disruptions, road closures, cyber incidents, telecommunications failure, government action, border delays, fuel shortages, or other operational disruptions.

19.

Suspension and Termination

Jarida Africa may suspend or terminate your access to the platform immediately where:

  • you breach these Terms;
  • you present legal, compliance, payment, fraud, or security risk;
  • required documents or information are not provided;
  • continued access may harm Jarida Africa, other users, or the platform.

Termination does not affect rights or obligations that accrued before termination, including outstanding payment obligations.

20.

Complaints and Dispute Resolution

If you have a complaint, please contact Jarida Africa first at info@jaridafrica.com. We aim to address complaints fairly and efficiently. If a matter cannot be resolved directly, the parties may attempt resolution through negotiation, mediation, or any dispute process agreed in writing. Where consumer rights apply, users may also have access to statutory complaint mechanisms under South African consumer protection structures.

21.

Governing Law

These Terms & Conditions are governed by the laws of the Republic of South Africa. Subject to applicable law and any mandatory forum available to consumers, disputes relating to these Terms & Conditions will be subject to the jurisdiction of the competent courts of South Africa.

22.

Changes to These Terms

Jarida Africa may update these Terms & Conditions from time to time to reflect changes in the law, our platform, our services, or our business operations. The latest version will be published on the platform with the updated effective date. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms, subject to any legal requirements for additional notice.
